TERMS OF SERVICE AND GENERAL TERMS OF COOPERATION (B2B)

§ 1. DEFINITIONS AND COMPANY INFORMATION

  1. Service Provider/Contractor: GMM INOX SPÓŁKA Z OGRANICZONĄ ODPOWIEDZIALNOŚCIĄ, 284B, 37-125 Czarna, KRS: 0001051330, NIP: 7011158872, REGON: 526051600. Share capital: PLN 4,000,000.00.

  2. Client: An entrepreneur within the meaning of Article 43¹ of the Polish Civil Code, using the Website or commissioning the performance of a Product.

  3. Product: Devices, tanks, chambers or other stainless steel components manufactured according to an individual Specification.

  4. Website: The website operated at www.inoxcon.pl.

§ 2. SCOPE OF SERVICES AND NATURE OF THE WEBSITE

  1. The Website is intended to present the Contractor’s technological capabilities and is not an online store.

  2. Information, price lists and descriptions do not constitute a commercial offer, but an invitation to conclude a contract (Article 71 of the Polish Civil Code).

  3. The electronic services provided include access to content, a contact form and a recruitment module (CV submission).

§ 3. DESIGN PROCEDURE AND PERFORMANCE (MADE-TO-ORDER MODEL)

  1. Inquiry and Offer: Based on the inquiry, the Contractor prepares a preliminary offer. The validity period of the offer is, as a rule, 14 business days, unless stated otherwise (due to steel price fluctuations).

  2. Specification and 3D Model: After acceptance of the offer, the Contractor prepares a detailed 3D model.

  3. Approval: The Client is obliged to approve the 3D model in writing (by e-mail). Upon approval of the model, the Specification becomes binding and may not be changed free of charge.

  4. Performance and Withdrawal: Due to the non-prefabricated nature of the Products (manufactured according to specification), the Client is not entitled to withdraw from the contract without fully covering the costs incurred by the Contractor (materials, labour, design).

§ 4. PAYMENT TERMS AND RETENTION OF TITLE

  1. The Contractor accepts the following payment methods: bank transfer, deferred payment (subject to positive credit verification) and cash.

  2. Retention of title: Pursuant to Article 589 of the Polish Civil Code, ownership of the delivered Product shall pass to the Client only upon full payment of the price.

  3. In the event of delayed payments, the Contractor shall be entitled to statutory interest for delay in commercial transactions.

§ 5. DELIVERY, ACCEPTANCE AND INSTALLATION

  1. Delivery is carried out by the Contractor’s own transport to the address specified in the order.

  2. The Client is obliged to ensure the technical conditions necessary for unloading and, where applicable, installation of the Product.

  3. Quality acceptance: Signing the acceptance report without reservations shall mean confirmation that the Product complies with the Specification and has no visible physical defects.

§ 6. WARRANTY AND LIABILITY

  1. The Contractor grants a technical warranty for a period of 12 months (unless the contract provides otherwise). The warranty covers welding and structural defects.

  2. Exclusion of statutory warranty: Pursuant to Article 558 § 1 of the Polish Civil Code, liability under the statutory warranty towards entrepreneurs is fully excluded.

  3. Limitation of liability: The Contractor’s liability for non-performance or improper performance of the contract shall be limited solely to actual damage and capped at the value of the order. The Contractor shall not be liable for the Client’s lost profits (lucrum cessans).

§ 7. CONFIDENTIALITY AND INTELLECTUAL PROPERTY

  1. Any designs, 3D models, specifications and technical solutions provided to the Client shall constitute the Contractor’s trade secret.

  2. The Client is not entitled to disclose technical documentation to third parties, including competing contractors, under penalty of contractual fines.

§ 8. RECRUITMENT AND PERSONAL DATA

  1. Data submitted via the contact form and CV form is processed in accordance with the GDPR.

  2. By submitting the form, the Client/Candidate consents to the processing of data for the purpose of handling the inquiry or the recruitment process.

  3. The full data protection rules are set out in the “Privacy Policy” document.

§ 9. FINAL PROVISIONS

  1. The Contractor reserves the right to amend these Terms. The new Terms shall apply from the date of publication on the Website.

  2. The governing law shall be Polish law.

  3. Any disputes shall be resolved by the common court having jurisdiction over the Contractor’s registered office in Czarna (Podkarpackie Voivodeship).
